About the Role
As an Associate in the General Corporate and M&A team, you will play a pivotal role in supporting a broad spectrum of corporate transactions. These include mergers, acquisitions, joint ventures, and other advisory services integral to business growth and strategic development. Your responsibilities will primarily involve drafting and reviewing legal agreements, conducting thorough due diligence processes, providing regulatory and compliance advice, and assisting senior lawyers in executing deals efficiently and effectively.
You will be expected to collaborate closely with clients, advisors, and other stakeholders to ensure smooth transaction workflows from initiation through to post-closing formalities. This role demands a keen eye for detail, sound legal judgment, and the ability to navigate complex legal issues that arise during deal-making processes. Key Responsibilities
Your key duties as an Associate will include:
- Drafting and reviewing various corporate agreements, including Share Purchase Agreements (SPAs), Shareholders’ Agreements, Employment Contracts, and Term Sheets.
- Conducting comprehensive due diligence reviews to identify and address potential legal risks or issues.
- Providing advice related to corporate governance, compliance under the Companies Act, Foreign Exchange Management Act (FEMA), SEBI regulations, and other relevant laws.
- Coordinating with clients, external counsel, financial advisors, and other parties involved in transactions.
- Supporting senior partners and legal teams in deal structuring, negotiation, execution, and managing post-closing matters.
- Keeping abreast of regulatory changes and industry trends impacting corporate and M&A laws.
Eligibility Criteria
The ideal candidate for this Associate position should fulfill the following criteria:
- Have 2 to 4 years of hands-on experience in General Corporate and M&A legal matters.
- Hold a recognized law degree (LLB) from an accredited university.
- Demonstrate strong drafting, research, and analytical skills to manage complex corporate transactions.
- Possess the ability to handle client communications professionally and multitask efficiently in a fast-paced environment.
- Candidates based in Bangalore or willing to relocate will be given preference.
